Xpressplay, LLC ("Xpressplay", "we", or "us") provides an online video service offering game footage, coaching seminars, clips, and other content (collectively, "Content") available on the xpressplay.com website. By using and/or visiting the this website (collectively including all content and functionality offered through the Xpressplay domain, "Xpressplay website" or "site" hereto referred to as the "Services") you agree to (1) these terms and conditions ("Terms of Use"), and (2) the privacy notice (found here). In order to access some areas and features of this site you will have to create an Xpressplay account. All of the information provided to create the account must be up-to-date and accurate. There will be pages provided to update your account information. You may never use another's account without permission. You are responsible for keeping your password confidential. No representative or agent of the site will ask you for your password. You are responsible for all activity under your account including any authorized third party use of your account and password. Any fraudulent, malicious, abusive or otherwise illegal activity may be grounds for account termination, at the site's sole discretion, and the site may refer you to the proper authorities.

You must notify Xpressplay of any known or suspected unauthorized use of your account, the site, any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password or credit card information.

The content offered as part of the Xpressplay Services on any Site is owned by Xpressplay and its licensers and is protected by intellectual property laws, including trademark, trade secret, copyright, and other laws.

In order to utilize some of the Xpressplay services you may be notified that it is necessary to download additional software or other material or agree to additional terms and conditions. Unless terms of use are described in those additions, they are incorporated into these Terms.

Access to the Xpressplay site is currently free. When fees become necessary we will notify you. At this point you will have the opportunity not to use the services if you are not interested in paying for them.

Xpressplay, the Xpressplay logo, www.xpressplay.com, and other Xpressplay names, graphics, logos, scripts, and sounds are trademarks of Xpressplay. None of the Xpressplay trademarks may be copied, downloaded or otherwise exploited without Xpressplay's prior written consent.

While we do our best to provide optimal performance, use of the Xpressplay Services is at your own risk. The Xpressplay Services and content are provided "as is" and, to the fullest extent permitted by law, are provided without warranties of any kind, either expressed or implied. Xpressplay does not make any warranties that the Services will be uninterrupted, free of viruses, error free or reliable.

You agree to defend, indemnify and hold harmless Xpressplay, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Xpressplay Website; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that one of your User Submissions caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of the Xpressplay Website.

If you believe that any Content or other material provided through the Xpressplay services infringes upon your copyright, please notify Xpressplay of your infringement claim via the procedure below.

We will process each notification of alleged infringement receives the appropriate action in accordance with applicable intellectual property laws. This Terms of Use is governed by, and construed in accordance with, the laws of the State of Colorado without giving effect to principles of conflicts of law. You agree to submit to the exclusive jurisdiction of the courts located in the Denver County of the State of Colorado.

This Terms of Use constitutes the whole legal agreement between you and Xpressplay and governs your use of the Xpressplay Services (but excluding any services, if any, that Xpressplay may provide to you under a separate written agreement), and completely replaces any prior agreements between you and Xpressplay in relation to the Xpressplay Services. It may not be amended or varied by you except in a writing signed by Xpressplay. For these purposes a signature may not include an electronic signature.
